The corporate secretary is responsible for filing the Annual Returns and relevant accounting documents to SSM. 
This is mandatory by law.
2. AGM & Board Meetings
It is compulsory to hold certain Board Meetings for each financial year. The corporate secretary will schedule, organise and complete necessary documentations for these Board Meetings.

Can I hire an in-house corporate secretary?
A corporate secretary’s main role is to prepare the Annual Returns and the Annual General Meeting. There may be ad hoc work depending on how often you change your business profile.

As there isn’t much work, most companies generally outsource the role of a corporate secretary to companies like ours.

Can I be my own corporate secretary?
Yes you can. You need to possess the qualifications of a corporate secretary and be familiar with all required company filings. You will also need to fulfil all legal requirements of a Corporate Secretary.

You cannot be the corporate secretary if you are the sole director of your company.

Do I need a corporate secretary?
Yes. Under Singapore’s Company Act, new companies must appoint a corporate secretary within 6 months and this position cannot be vacant for more than 6 months. 

Is it difficult to switch corporate secretaries?
No it isn’t. Switching corporate secretaries is quick and easy. You just need to submit 3 documents to ACRA:

1. Resignation letter from previous corporate secretary
2. A director’s resolution that accepts the resignation of the previous secretary and appoints the new secretary
3. Form 45B to indicate consent of new secretary appointment

We will help you prepare all the documents and submit them to ACRA on your behalf. You do not have to do anything.
